It closed at 7 p.m. on Friday 23 October instead, because of concerns over demonstrations expected in Paris that weekend. Exhibitors were informed on the Thursday afternoon. Two of the three public days were lost.

For many galleries the booth fee, shipping, installation and travel were committed months in advance. France’s gallery association has publicly demanded compensation from the fair. When asked about refunds, the fair said it could not yet comment on specific financial or contractual measures. Weekend tickets are being refunded to visitors.

The question every exhibitor now faces is simple to state and harder to answer. Is the fee owed in full for a fair that did not run its full course? The answer depends on three layers: the exhibitor agreement, the law that governs it and, where French law applies, the rules on force majeure and unfair terms.

Start with the exhibitor agreement

Everything begins with the documents the gallery signed or accepted when it applied: the application form, the exhibitor regulations and any rules or principles incorporated by reference. As part of its art market practice, the Firm regularly reviews these documents for exhibitors. Five types of clause matter here:

a clause allowing the organiser to close the fair early or to modify its dates;

a clause stating that participation fees will not be refunded in specified circumstances;

a definition of force majeure, and the list of events it covers;

a clause excluding or limiting the organiser’s liability;

a clause choosing the governing law and the competent court or arbitral tribunal.

Fair organisers draft these terms with closures in mind. Exhibitor terms for other editions of the same fair have reportedly allowed a premature closure while keeping the full booth fee payable. Whether the Paris 2026 terms say the same can only be checked against the documents each exhibitor actually received.

Which law governs the agreement?

Most exhibitor agreements contain a choice of law, and under the EU Rome I Regulation that choice will generally be respected (Article 3).

Where there is no choice, the same Regulation applies before a French court. A contract for the provision of services is governed by the law of the country where the service provider has its habitual residence. An exhibitor agreement would then be governed by the law of the organiser’s country, unless the contract is manifestly more closely connected with another country. The place where the fair is held is a relevant factor, not an automatic one.

A gallery established outside France should therefore not assume that French law applies simply because the fair took place in Paris. Where a foreign law governs, its rules on frustration, impossibility or force majeure may differ substantially, and advice from counsel qualified in that law is needed.

If French law applies: was the closure force majeure?

French law defines force majeure as an event beyond the debtor’s control, which could not reasonably be foreseen when the contract was concluded and whose effects cannot be avoided by appropriate measures. The event must prevent the debtor from performing (Article 1218 of the French Civil Code).

The debtor here is the organiser, whose obligation was to provide the booth and run the fair over the announced dates. It is for the organiser to show that the conditions of force majeure are met. The gallery, as the party that did not receive the full service, cannot itself invoke force majeure to obtain termination, as the French Supreme Court held on 25 November 2020.

Three points deserve close attention:

Who decided. A closure ordered by a public authority, or imposed by the venue operator, is not the same as a closure decided by the organiser itself after weighing the risks. The more the decision was a choice, the harder it is to show that the event could not be avoided.

Each day separately. Irresistibility can be assessed day by day. The case for closing on the day of a planned demonstration is not necessarily the same as the case for remaining closed the following day.

Foreseeability. The test applies at the date the contract was concluded, usually months before the fair.

In our view, an organiser that decided the closure itself, without an order from the authorities, will find it difficult to establish force majeure. This is particularly true for a second day of closure, when other venues reopened.

A partial closure: what happens to the fee?

Where force majeure is established and performance has become definitively impossible, the debtor is released “to the extent” of that impossibility. In our view, a release limited to the days that could not take place calls for a corresponding reduction of the price, since the exhibitor did not receive that part of the service. Where the services exchanged were useful as they were performed, French law does not require the restitution of what corresponds to the period already performed. Taken together, these rules point towards a refund in proportion to what was not supplied, rather than a full refund or nothing.

Where force majeure is not established, the closure is an incomplete performance by the organiser. French law then allows the exhibitor to seek a proportionate reduction of the price. Damages are also available, unless the organiser shows that performance was prevented by force majeure.

Can a no-refund clause be challenged?

A clause excluding any refund is not automatically valid, nor automatically void. French law offers several grounds of review:

Interpretation. In a standard-form contract, any doubt is resolved against the party that drafted it. A clause written for a fair that “cannot take place” does not necessarily cover a fair that opened and then closed early.

Essential obligation. Under Article 1170 of the French Civil Code, a clause that deprives the debtor’s essential obligation of its substance is deemed unwritten.

Significant imbalance. In a standard-form contract, a non-negotiable clause creating a significant imbalance between the parties is deemed unwritten. Between businesses, subjecting a counterparty to such an imbalance gives rise to liability under Article L. 442-1 of the French Commercial Code.

A similar case: Art Paris 2020

French courts have already examined a comparable situation. Art Paris 2020, scheduled at the Grand Palais in April, was postponed and then cancelled after the government banned large gatherings. The organiser offered exhibitors 50% of the fees paid, half in cash and half as a credit on the next edition. Several galleries sued.

At least one obtained an order for the return of its deposit before the Paris commercial court. The Paris Court of Appeal nevertheless upheld the organiser’s terms on 27 January 2023. The exhibitor terms excluded any refund when the fair could not take place, listing among other events riots and security risks.

The French Supreme Court confirmed that approach on 26 February 2025. It held that significant imbalance must be assessed by a concrete analysis of the economics of the contract as a whole. Such an imbalance cannot be inferred merely from the fact that the clause is less favourable than the default rules on force majeure.

The facts, however, were different. Art Paris 2020 was cancelled outright following a government ban, at a time when the organiser had already committed most of its costs. A fair that opened, sold for several days and was then closed early by the organiser’s own decision raises its own questions, both on the scope of the clause and on the existence of force majeure.

Beyond the booth fee

The booth fee is rarely the whole loss. Exhibitors may also have borne:

shipping and installation costs;

travel and accommodation;

the sales they expected to make over the weekend.

Recovering these sums requires a breach for which the organiser is liable, proof of the loss and, often, overcoming a limitation-of-liability clause. Lost sales are the hardest item to establish. Comparable data from previous editions, the gallery’s own fair records and correspondence with collectors scheduled to visit will matter.

Galleries should also review their own insurance. Event cancellation and business interruption policies frequently exclude riots and civil commotion, and the wording of each exclusion has to be read closely.

What foreign galleries can do now

Gather the documents: the signed application, the regulations in their exact version, invoices, payment records and every message from the organiser about the closure.

Document the loss: the sales made on each day, the costs committed and any visits or deals that were cancelled.

Read any offer carefully. A credit on a future edition or a partial refund may come with conditions, including a waiver of further claims.

Consider acting collectively. Several exhibitors raising the same contractual points carry more weight than isolated requests.

Keep track of time. Under French law, claims between businesses arising from their commercial dealings are generally time-barred after five years (Article L. 110-4 of the Commercial Code). A foreign governing law may set a different period.

Frequently Asked Questions

Does a gallery automatically get a refund when an art fair closes early?
No. The answer depends first on the exhibitor agreement, which often regulates early closure and refunds, and then on the law governing that agreement.

Is an early closure for security reasons force majeure under French law?
Not automatically. The organiser must show that the event was beyond its control, unforeseeable when the contract was made and impossible to avoid by appropriate measures. A closure decided by the organiser itself, especially on a day when other venues reopened, will be examined closely.

Can a clause excluding any refund of the booth fee be set aside in France?
It can be challenged. In a comparable case concerning Art Paris 2020, a fair cancelled after a government ban, the French Supreme Court upheld such a clause. The outcome depends on the wording of the clause and on the economics of the contract as a whole.

Does French law apply because the fair was held in Paris?
Not necessarily. A choice of law in the exhibitor agreement generally prevails. Without one, the law of the organiser’s country will often apply to a services contract.

An article written by Simon Rolin, Attorney at the Paris Bar and Partner at the firm.

As part of its art market practice, Fournol & Associés advises in particular on contract law and on disputes arising from art fairs.
