The auction house’s terms of sale, the catalogue description, the identity of the bidder, provenance, payment arrangements and the possible export of the work can all matter. Once the hammer falls, some questions become considerably harder to resolve.

Here are ten points a foreign buyer should consider before acquiring an artwork at auction in France.

1. Read the conditions of sale before bidding

A public auction is not simply a purchase made through an online platform or in a saleroom.

The auction house acts within a specific legal framework and publishes conditions governing matters such as registration, bidding, payment, buyer’s fees, collection, storage and sometimes the allocation of particular taxes or charges. Under Article L. 320-2 of the French Commercial Code, the highest bidder acquires the lot awarded to him or her and becomes liable for the price. Foreign buyers should therefore read the conditions before bidding, not after receiving the invoice.

This is particularly important if the intended purchaser is a company rather than the individual placing the bid, if payment will come from a third party or if the work must leave France immediately after the sale.

2. The hammer price is not the total price

The amount of the successful bid is only the starting point.

Buyer’s fees are added to the hammer price. The French auction regulator, the Conseil des maisons de vente, explains in its guidance for auction buyers that buyer’s fees are set by each auction house and disclosed in the conditions of sale. Other charges or taxes may also arise depending on the work and the transaction.

A foreign bidder should therefore calculate the likely all-in acquisition cost before setting a bidding limit.

Transport, insurance, storage, customs formalities and export documentation may then add further costs after the sale.

3. Decide who is buying before you bid

One recurring difficulty arises when an individual registers and bids personally, but asks after the auction for the invoice to be issued to a company, trust-related vehicle or another person.

From the buyer’s perspective, the economic result may appear identical. From a legal and KYC perspective, it may not be.

The auction house may need to identify the actual purchaser, its representative and, where relevant, its beneficial owner.

Foreign buyers purchasing through corporate structures should therefore decide before the sale who will be the contracting purchaser and who will make payment.

This is closely connected with French AML/KYC requirements. Our article Why Is a French Auction House Asking for My ID? explains why French auction houses may request passports, corporate documents, beneficial ownership information and, in certain circumstances, information concerning the funds used for the transaction.

4. Pay close attention to the exact attribution in the catalogue

In the art market, a few words can radically change the legal meaning of a catalogue entry.

French law contains specific rules governing descriptions of works of art. Under the so-called décret Marcus, describing an artwork as “by” an identified artist carries a different legal effect from describing it as “attributed to”, “workshop of”, “school of” or “in the manner of” that artist.

For example, Article 3 of the decree of 3 March 1981 provides, subject to an express reservation on authenticity, a guarantee attached to certain direct references to an artist. By contrast, “attributed to” means that serious presumptions point to that artist as the likely author, while expressions such as “style of” or “in the manner of” provide no particular guarantee of authorship.

Do not therefore read all artist references as equivalent. For a valuable acquisition, the complete wording of the catalogue entry should be preserved.

5. Authenticity and condition are different questions

An authentic painting can be heavily restored. A work can also be in excellent physical condition while its attribution is disputed. The two issues should be examined separately.

Before bidding, a buyer may wish to request additional photographs, a condition report, technical information, provenance documentation or clarification of a catalogue description. For significant works, independent expertise may also be appropriate.

Our publication on artwork authenticity and attribution disputes in France explains why these disputes rarely depend on a single certificate or opinion. Provenance, scientific analysis, archives, specialist opinions, catalogues raisonnés and the precise contractual description may all become relevant.

6. Provenance is not the same as legal title

A long and apparently prestigious provenance does not automatically establish that the seller has an unassailable title. Conversely, a gap in provenance does not automatically mean that the current owner lacks title. Questions of ownership may involve theft, loss, inheritance, invalid transfers, wartime spoliation, cultural-property legislation or conflicts between the laws of several countries.

Our guide to art provenance and ownership claims in France explains this distinction in greater detail. A buyer dealing with a work whose history contains sensitive periods or unexplained transfers should consider these issues before the auction rather than after a third party asserts a claim.

Foreign collectors should also be aware that French law contains particular rules concerning good-faith possession and stolen movable property, discussed in our article Buying Stolen Art in Good Faith: What Does French Law Say?.

7. KYC can continue after you win the lot

Winning the auction does not necessarily mean that every compliance question has been resolved.

Additional enquiries may arise if the payer is different from the bidder, if a company is substituted after the auction, if funds arrive from an unexpected account or if the transaction presents particular risk factors. This can have practical consequences: payment, collection or release of the artwork may be delayed while the auction house completes its checks. If a corporate buyer or third-party payment is contemplated, the structure should be disclosed early.

The objective is not only regulatory compliance. It is also to avoid discovering, after the hammer has fallen, that the intended payment structure cannot immediately be accepted.

8. Buying the work does not automatically mean you can immediately take it abroad

This is one of the most important points for international collectors.

Certain artworks and cultural objects require a French export certificate or other authorisation before leaving France. Whether a document is required depends in particular on the nature, age and value of the object.

The French Ministry of Culture explains that cultural goods meeting the relevant criteria are subject to specific authorisation requirements, while items classified as national treasures cannot be permanently exported from France. The Ministry’s export guidance is available here. If the work is leaving the European Union, a separate European export licence may also be required. French Customs guidance on exporting cultural goods explains how the French and European regimes can apply cumulatively. A buyer should therefore investigate export requirements before arranging collection or international shipping.

Our related article, “I Bought an Artwork in France: Can I Take It Out of the Country?”, addresses this point in detail.

9. Shipping is not the same as legal export

Using a professional art shipper is sensible, but logistics and legal compliance are distinct issues.

Moving a work outside the European Union may involve customs declarations as well as cultural-property documentation. Depending on the object, additional regimes may apply — for example where ivory, tortoiseshell, certain woods or other protected materials are present.

French Customs distinguishes the national rules governing the departure of cultural property from France from the European rules governing export outside the European Union. Problems with documentation can lead to customs controls and, in serious cases, seizure or proceedings.

Our English publications on supporting documents for cultural property in France and customs detention involving cultural property explain some of the risks that can arise once an object enters the customs-control process.

10. If a problem emerges after the sale, do not wait

Authenticity doubts, a third-party ownership claim, an unexpected refusal of an export certificate or a material discrepancy in the catalogue should be assessed promptly.

Different legal actions are subject to different limitation periods.

Of particular importance in auction disputes, Article L. 321-17 of the French Commercial Code provides a five-year limitation period, running from the auction, for civil liability claims arising in connection with valuations and public auction sales against the relevant auction operators and experts. Other claims may follow different rules.

The first step should therefore be to preserve the catalogue, conditions of sale, invoice or bordereau, photographs, condition reports, correspondence, provenance documents and any subsequent expert evidence.

Buying art in France as an international collector

For most foreign buyers, purchasing at auction in France is entirely manageable.

The principal risks arise when important questions are left until after the auction: Who is the purchaser? What exactly does the attribution mean? Is the provenance satisfactory? Who will pay? Can the work leave France? What documents will be required?

Addressing these questions before bidding can substantially reduce legal and practical risk.

About the author

An article written by Alexis Fournol, Attorney at Law and Partner at Fournol & Associés.

Alexis Fournol advises French and international collectors, art market professionals, artists, estates and institutions on art-market, cultural property and ownership disputes.

How Fournol & Associés can assist

Fournol & Associés is a Paris-based law firm with a dedicated Art Market practice. French public auctions are open to foreign bidders, subject to the auction house’s registration, payment and compliance requirements.

When do I become bound by the purchase?
French auction law provides that the successful bidder acquires the lot awarded to him or her and is liable to pay the price. Buyers should therefore resolve major questions before bidding rather than treating the post-sale period as a further negotiation stage.

Do I need a French bank account to buy at auction?
Not as a general rule. However, the auction house will specify accepted payment methods and may conduct additional KYC checks where the payer or account holder differs from the identified purchaser.

Can I take an artwork directly from a Paris auction to the United States or United Kingdom?
Not necessarily. Depending on the work’s nature, age and value, French cultural-property documentation may be required. An export outside the EU may also require an EU export licence and customs formalities.

What should I do if I later discover that the work may not be authentic?
Preserve all documents and obtain legal and specialist advice quickly. The catalogue wording, evidence of authenticity, applicable contractual remedies and limitation periods must be analysed before deciding whether to seek cancellation, damages or another remedy.

This publication provides general information on French law and does not constitute legal advice.
