The loan agreement carries most of the protection, and the first decision to make is which law governs it.<\/strong><\/p>\n<h2 dir=\"ltr\">Which law applies to a loan made to a French institution?<\/h2>\n<p dir=\"ltr\">A loan to a French institution is a customary contract in <a href=\"https:\/\/fournol-associes.com\/en\/art-market\/\">the art world<\/a>: the parties can choose the law that governs it. Under the Rome I Regulation, the choice must be made expressly or be clearly demonstrated by the terms of the contract or the circumstances of the case. Without a choice, conflict-of-laws rules designate the applicable law, with a less predictable result. A foreign law does not displace the overriding mandatory provisions of the forum.<\/p>\n<p dir=\"ltr\">The parties can also choose the courts. The choice of a court of an EU Member State is effective whatever the parties&#8217; domicile, subject to its validity and to formal requirements.<\/p>\n<h2 dir=\"ltr\">What does French law provide for the loan itself?<\/h2>\n<p dir=\"ltr\">French law sets no mandatory rule for a temporary loan of a work. The Civil Code provisions on the loan for use (<em>pr\u00eat \u00e0 usage<\/em>) apply only by default, and the parties may adapt them. Where they apply, the loan is essentially free; if the lender is paid a fee, the contract may no longer qualify as a loan for use. The borrower must take reasonable care of the work and use it only as its nature or the agreement determines, on pain of damages.<\/p>\n<p dir=\"ltr\">The lender cannot take the work back before the agreed term or, failing a term, before the work has served the purpose of the loan. A judge may nevertheless order an earlier return if the lender has a pressing and unforeseen need for the work.<\/p>\n<p dir=\"ltr\">These are default rules. The parties may adapt them, and the agreement should do so.<\/p>\n<h2 dir=\"ltr\">What should the loan agreement cover?<\/h2>\n<ul dir=\"ltr\">\n<li>Identification of the work and its insurance value.<\/li>\n<li>Insurance for the whole period, from the lender&#8217;s premises until the work&#8217;s return (&#8220;<em>nail to nail<\/em>&#8220;).<\/li>\n<li>A condition report at departure and at return.<\/li>\n<li>Transport, packing and couriers.<\/li>\n<li>Conditions of display: place, hanging, lighting, labelling.<\/li>\n<li>Credit line and communication about the work.<\/li>\n<li>Photography and reproduction: owning the work confers no copyright, so reproducing a work still protected by copyright, in a catalogue or online, also requires the consent of the artist or the estate.<\/li>\n<li>Term and return date.<\/li>\n<\/ul>\n<p dir=\"ltr\">For a lender based abroad, add:<\/p>\n<ul dir=\"ltr\">\n<li>the governing law and the competent courts;<\/li>\n<li>the customs status of the work in France;<\/li>\n<li>who files the customs formalities and who bears the cost of any guarantee.<\/li>\n<\/ul>\n<p dir=\"ltr\"><strong>Conditions of display.<\/strong> No statute requires such a clause in a loan. It is a contractual hold on how the work is shown. Where French law governs and the borrower departs from it, the lender can send formal notice and, if the breach persists, terminate by notification at its own risk. The borrower can then challenge the termination before a judge, and the lender must prove that the breach was serious enough. A termination clause takes effect only after an unsuccessful formal notice, unless the parties agreed otherwise, and the notice must expressly mention the clause.<\/p>\n<h2 dir=\"ltr\">Does it matter whether the museum is public or private?<\/h2>\n<p dir=\"ltr\">Under the Heritage Code, the relevant line is whether the borrower holds the <em>mus\u00e9e de France<\/em> appellation. That appellation is granted to museums belonging to the State, to other public bodies or to private non-profit entities.<\/p>\n<ul dir=\"ltr\">\n<li><strong>Deposit in a <em>mus\u00e9e de France<\/em>.<\/strong> These museums may receive on deposit works of art belonging to private persons for display to the public. The term cannot be shorter than five years, and the terms are set by a contract that must state, among other things, the place and manner of presentation to the public and the conditions of conservation. A placement of five years or more should be drafted as a deposit.<\/li>\n<li><strong>Short exhibition loan.<\/strong> This is a different operation, governed by the loan agreement and the chosen law.<\/li>\n<li><strong>Institution without the <em>mus\u00e9e de France<\/em> appellation<\/strong> (private foundation, private museum, gallery). The agreement and the chosen law govern.<\/li>\n<li><strong>Public body.<\/strong> Confirm in writing who is authorised to sign for the institution. A contract concluded with a public body may, in some cases, be classified as an administrative contract, which changes the applicable rules and the competent courts; this should be checked before signing.<\/li>\n<\/ul>\n<h2 dir=\"ltr\">What are the customs and VAT consequences of bringing the work to France?<\/h2>\n<p dir=\"ltr\"><strong>Work coming from outside the EU.<\/strong> Bringing the work into France is an import, and imports of works of art are in principle subject to VAT. Temporary admission (<em>admission temporaire<\/em>) avoids this: it gives total relief from import duties and suspends VAT for goods intended for an exhibition, provided they are re-exported unchanged.<\/p>\n<p dir=\"ltr\">The main conditions are:<\/p>\n<ul dir=\"ltr\">\n<li>an authorisation, or a simplified or oral declaration in some cases (an ATA carnet can also be used);<\/li>\n<li>a guarantee of 100 % of the suspended duties and 5 % of the VAT, unless dispensed;<\/li>\n<li>a stay of 24 months at most, unless special periods apply;<\/li>\n<li>use of the work at the places indicated;<\/li>\n<li>re-export of the work unchanged;<\/li>\n<li>in some cases, ownership of the work by a person established outside the EU.<\/li>\n<\/ul>\n<p dir=\"ltr\">The regime is granted to the person who uses the goods, or has them used under its responsibility. The agreement should name that person and state who prepares the file, provides the guarantee, bears its cost and organises re-export. The loan term should be aligned with the authorised stay. If the work is not re-exported, or stays beyond the authorised period, import formalities and taxes may become due.<\/p>\n<p dir=\"ltr\"><strong>Work already in free circulation in the EU.<\/strong> Moving it to France from another Member State involves no customs formality.<\/p>\n<p dir=\"ltr\">This article does not address income tax, wealth tax or taxation in the lender&#8217;s country of residence.<\/p>\n<h2 dir=\"ltr\">Frequently asked questions<\/h2>\n<p dir=\"ltr\"><strong>Does French law impose mandatory rules on the loan of an artwork by a foreign collector to a French museum?<\/strong><br \/>\nFew, for a temporary loan.
